Agreement
These Terms of Service ("Terms") govern your access to iskaria.com and the services provided by Iskaria ("we", "our", "us"). By using our website or engaging us for services, you agree to these Terms. If you are entering into these Terms on behalf of a business, you confirm that you have authority to bind that business.
Our services
Iskaria provides digital operations and marketing services, which may include operational audits, performance marketing (Meta and Google), Google Business Profile management, website and software build, and growth strategy consulting. The specific scope, deliverables, and fees for any engagement are set out in a written proposal or statement of work agreed with you.
Your responsibilities
You agree to provide accurate information and timely access to the accounts, assets, and materials reasonably required for us to perform the services, and to comply with the terms of any third-party platforms used in your engagement. You are responsible for the content and materials you provide to us.
Fees and payment
Fees, billing frequency, and payment terms for an engagement are set out in the applicable proposal or statement of work. Unless agreed otherwise, invoices are payable within the period stated on the invoice. Third-party costs (such as advertising spend and platform fees) are your responsibility unless expressly included in the engagement.
Intellectual property
We retain ownership of our own tools, frameworks, and pre-existing materials. On full payment, you own the deliverables we create specifically for you under an engagement, unless the applicable proposal states otherwise. Unless you ask us not to, we may reference the engagement in our portfolio and case studies.
Confidentiality
Each party will keep the other party's non-public information confidential and use it only to perform the engagement, except where disclosure is required by law or agreed in writing.
Third-party platforms
Some services depend on third-party platforms (for example, Meta and Google). We are not responsible for those platforms' availability, policies, pricing changes, or decisions, and their terms apply to your use of them. We are not liable for interruptions or outcomes caused by those platforms.
Disclaimers
We provide our services with reasonable skill and care, but we do not guarantee any specific commercial result, including specific increases in leads, sales, traffic, or revenue. Our services are provided without warranties of any kind other than those expressly stated in the applicable proposal.
Limitation of liability
To the maximum extent permitted by law, Iskaria's total aggregate liability arising out of or relating to an engagement will not exceed the fees paid to us for the services giving rise to the claim, and we will not be liable for indirect, incidental, or consequential losses.
Termination
Either party may terminate an engagement as set out in the applicable proposal. We may suspend or terminate services for non-payment or breach. Provisions that by their nature should survive termination, such as intellectual property, confidentiality, and liability, will continue to apply.
Governing law
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of India, and the courts of India have exclusive jurisdiction.
Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above indicates when they were last revised. Continued use of our website or services after changes take effect means you accept the updated Terms.
